Focus of Practice
Ian has a broad and very active corporate commercial practice involving, mergers, acquisitions and reorganizations, shareholder and owner relationship disputes, assisting clients with issues that arise in vital, growing business enterprises as well as complex business transactions.
Represents & Advises
- Primarily closely held, owner-operated companies ranging from family owned businesses to substantial multi jurisdictional operations;
- Canadian subsidiaries of large US multinational corporations and publicly traded companies.
Professional partnerships
Engagements Include
- Assisting individuals and corporations in buying or selling businesses, business divisions or significant assets;
- Helping clients create and structure businesses, particularly dealing with ownership relationships such as shareholder agreements, partnership agreements and agreements with other individuals within the organization; and commercial relationships such as distribution, joint venture, supply and outsourcing. Included in this area is financing - primarily debt financing and private equity financing;
- Assisting and guiding individuals when the business or a specific relationship deteriorates;
- Negotiating and drafting technology contracts, including software and hardware procurement, development, licensing and partnering arrangements;
- Helping business owners and managers deal with, oversee and complete change. This includes all aspects of reorganization, expansion, mergers and acquisitions.
- Helping owners and managers establish different types of relationships whether with fellow owners or people with whom they do business, and to avoid problems in those relationships;
- Helping owners and managers figure out resolutions to problems in business relationships.
