Senior Securities Lawyer

KMB Law is seeking a Senior Securities Lawyer with a minimum of 6+ years of practice experience. The successful candidate will be organized, detail-oriented and able to demonstrate strong communication skills. Lead a practice group.

This position offers an exciting opportunity to develop and enhance a strong Securities practice in conjunction with experienced professionals in a dynamic and challenging legal environment.

Position Overview:

The Senior Securities Lawyer will assist with the performing of a variety of substantive, complex and routine legal activities with a commitment to legal excellence.

This position may be located at any one of our three offices, with flexibility to visit the firms’ other locations and to work from home, position dependent. The hours of work are 9 a.m. - 5 p.m., however the successful candidate may be required to work outside of normal business hours to meet business and client needs.

Responsibilities include, among others:

  • Advise clients on a wide array of general securities and corporate finance and corporate law matters, including public company securities law compliance and corporate governance issues.
  • Private equity and private fund formation, domestic and public securities matters as well as corporate finance.
  • Private placement of securities, Mutual Fund Trusts (MFTs), Real Estate Investments Trusts (REITs), Initial Public Offerings (IPOs), securities filings related to securities work.
  • Takeovers, business combinations, capital pool company transactions and stock exchange listings.
  • Advises domestic and foreign venture capital and private equity sponsors on the formation, offering and administration of their funds.
  • Provides advice with respect to corporate governance requirements, continuous disclosure obligations and stock exchange matters.
  • Provide substantive and strategic advice for Ontario Securities Commission/SEDAR+ filings, regulatory inquiries and proceedings both domestic and multi-jurisdictional class actions and sensitive regulatory investigations.
  • Assist with preparation and submission of Ontario Securities Commission/SEDAR+ filings, proxy provinces/territories and annual shareholder materials.
  • Assist with management of clients’ legal disclosure obligations and clients’ day-to-day governance in compliance with the Ontario Securities Commission/SEDAR+ filing functions.
  • Assist with compliance with all applicable Ontario Securities Commission/SEDAR+ filing laws and regulations, stock exchange rules, and related regulatory compliance activities.
  • Maintain and share knowledge of particular areas of law relevant to business partners and area of practice.
  • Exceptional business and legal acumen; ability to identify and diagnose legal problems and articulate creative and practical solutions and alternatives.
  • Ability to establish and maintain effective working relationships with clients, other firm attorneys, support employees, and outside professionals.
  • Demonstrated ability and willingness to function with a high degree of autonomy.
  • Assist in preparing and administering financing transactions and contract and business enterprise matters.
  •  Assist Partners in managing all aspects of implementation of Private Equity transactions.
  • Participate in the education of articling and summer students and lawyers within the firm, responding to inquiries as necessary.
  • Support other firm practice areas.
  • Other duties as assigned.

 

Qualifications/Experience:

  • Proven book of business and the entrepreneurial ability to develop the practice group.
  • Knowledge of and experience with Canadian securities law and practice including working with the Ontario Securities Commission.

Junior Employment Law Associate

Position Overview:

The Junior Employment Law Associate will assist with a variety of substantive, complex, and routine legal activities and report to the Head of the Labour/Employment Department.

This non-remote position will be located at our head office in Mississauga or in our Burlington office.

The ideal candidate will advise mainly employer clients on all matters of employment and labour law, human rights law, and employment litigation (including trials, hearings, appeals, summary trials, and summary judgment motions). The ideal candidate will have experience or familiarity in civil litigation, employment standards and practices, wrongful dismissal, human rights and accommodation, occupational health and safety, and drafting and reviewing documents.

Responsibilities include, among others:

  • Providing immediate and/or long term advice on labour/employment matters.
  • Managing own set of litigation files (from start to finish).
  • Working closely with other lawyers as co-counsel on court and tribunal proceedings.
  • Drafting contracts, policies, investigations, correspondence, settlements, restrictive covenants, compensation plans, and other documents as needed, related to labour/employment matters, occupational health and safety, human rights
  • Preparing draft materials and/or all materials required for discoveries and other advocacy opportunities.
  • Conducting or assisting on discoveries, motions, applications and trials or arbitrations.
  • Communicating with all parties that form part of the caseload.
  • Liaison with other practice groups with duties related to client relationship management and firm marketing.
  • Other duties as assigned.

Qualifications/Experience:

The following would be an asset:

  • 0 -3 years of employment law experience, or civil litigation experience.
  • Strong Knowledge of civil procedure and practice.
  • In-court experience, in person and virtually.
  • Drafted claims, defences, applications, motions, affidavits, factums, and other litigation documents.
  • Mediation experience.
  • Experience working with expert witnesses.
  • Experience preparing clients for hearings and examinations.
  • Experience using legal software and other practice-based software such as WestLaw, CanLII, Case Center, Caselines and other litigation assistance software.
  • Experience with all word processing tools including Microsoft Office, advanced PDFs.
